Terms of Service for Momentum

Welcome to Momentum! Our application is designed to be your personal wellness and productivity coach,
helping you build better habits, manage tasks, and improve your focus.
By downloading, accessing, or using the Momentum mobile application (the "App"), you agree to be bound by
these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.
1. The Service
Momentum ("we", "us", "our") provides a suite of tools to enhance your productivity and well-being,
including but not limited to:
- Task management and progress tracking.
- AI-powered coaching based on your personal goals and habits.
- Journaling features to record your thoughts and progress.
- Personalized feedback and motivational content.
- Subscription-based premium features.
2. License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable,
non-sublicensable, revocable license to download, install, and use one copy of the App on a single
mobile device that you own or control for your personal, non-commercial use.
3. User Accounts & Authentication
To use most features of the App, you must create an account. We use Clerk as our
third-party authentication service. By creating an account, you agree to Clerk's terms of service and
privacy policy. You are responsible for maintaining the confidentiality of your account credentials and
for all activities that occur under your account.
4. User Responsibilities and Conduct
You agree to use the App only for its intended purposes and in compliance with all applicable laws. You
are solely responsible for all data, text, images, or other content ("Content") that you create, upload,
or store in the App.
You agree not to:
- Use the App for any illegal or unauthorized purpose.
- Upload any Content that is unlawful, harmful, threatening, defamatory, or otherwise objectionable.
- Attempt to reverse engineer, decompile, or otherwise access the source code of the App.
- Use the App to harass, abuse, or harm another person.
- Upload any images or content for which you do not have the necessary rights or permissions.
5. Third-Party Services
The App integrates with several third-party services to provide its functionality. By using our App, you
acknowledge and agree to the terms and policies of these services:
- Clerk: For user authentication.
- Supabase: For database storage, backend logic, and cloud functions. Your app data,
including tasks and journal entries, is stored with Supabase.
- Google Gemini: Our AI features are powered by Google's Gemini AI. When you use
features like the welcome survey or AI task generation, we send relevant data (such as your survey
answers) to Google's AI services for processing. This is done via a secure backend service and is
not a direct connection from your device.
- RevenueCat: For managing subscription status and entitlements.
- Apple In-App Purchases: For processing payments for subscriptions and premium
features. We do not store your credit card or payment information on our servers. All payment
processing is handled securely by Apple.
We are not responsible for the data handling practices of these third-party services. We encourage you to
review their respective privacy policies.
6. Subscriptions and Payments
Certain features of the App may be offered under a subscription plan (e.g., "Momentum Premium").
- Payment: Payment will be charged to your Apple ID account at the confirmation of
purchase.
- Auto-Renewal: Subscription automatically renews unless it is canceled at least 24
hours before the end of the current period.
- Renewal Charge: Your account will be charged for renewal within 24 hours prior to
the end of the current period.
- Management: You can manage and cancel your subscriptions by going to your account
settings on the App Store after purchase.
- Free Trial: Any unused portion of a free trial period, if offered, will be
forfeited when you purchase a subscription, where applicable.
All payments are processed through Apple's In-App Purchase system. We do not handle your
financial information directly.
7. Intellectual Property
All rights, title, and interest in and to the App and its content (excluding user-generated Content),
including all associated intellectual property rights, are and will remain the exclusive property of
Momentum and its licensors.
You grant Momentum a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process,
adapt, modify, publish, transmit, display, and distribute your Content solely for the purpose of
providing and improving the Service.
8. Account Termination
You may terminate your account at any time through the settings in the App. We may also suspend or
terminate your account if you violate these Terms. Upon termination, your right to use the App will
cease immediately. Following termination, we will delete your personal data within 30 days, as described
in our Privacy Policy.
9. DMCA/Copyright Claims
We respect the intellectual property rights of others. If you believe that any Content available in our
App infringes upon your copyright, you may submit a notification pursuant to the Digital Millennium
Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing:
- A physical or electronic signature of a person authorized to act on behalf of the owner of an
exclusive right that is allegedly infringed.
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the material that is claimed to be infringing and where it is located in the App.
- Information reasonably sufficient to permit us to contact you, such as an address, telephone number,
and, if available, an email address.
- A statement that you have a good faith belief that use of the material in the manner complained of
is not authorized by the copyright owner, its agent, or the law.
- A statement that the information in the notification is accurate, and under penalty of perjury, that
you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
10. Disclaimers
The App is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, express or implied. We
do not warrant that the App will be uninterrupted, error-free, or secure.
The AI-powered coaching and content are for informational purposes only and are not a substitute for
professional medical, financial, or legal advice. Always seek the advice of a qualified professional
with any questions you may have.
11. Limitation of Liability
To the fullest extent permitted by law, in no event will Momentum, its affiliates, officers, employees,
or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any
loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use,
goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access
or use the App; (b) any conduct or content of any third party on the App; or (c) unauthorized access,
use, or alteration of your transmissions or content.
12. Indemnification
You agree to indemnify, defend, and hold harmless Momentum and its officers, directors, employees, and
agents from and against any and all claims, disputes, demands, liabilities, damages, losses, and costs
and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in
any way connected with (i) your access to or use of the App, (ii) your user Content, or (iii) your
violation of these Terms.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Italy, without regard to
its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of
Turin, Italy to resolve any legal matter arising from these Terms.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the
new Terms within the App or through other communication. Your continued use of the App after any such
change constitutes your acceptance of the new Terms.
